TERMS OF SERVICE OF ESIM IO

This End-User Terms of Service (“Terms”) is a binding agreement between you (referred to herein as “the User”, “You” or “Your”) and Getverify LDA, a company incorporated under the laws of Portugal, and where applicable its subsidiaries, affiliates and related corporations (referred to herein as “Esim io”, “the Company”, “we”, “us” or “our”), concerning your access to and use of Esim io’s Services (as defined below) via Esim io website, related features and services, and other linked channels, mobile websites or applications (collectively, the “Platform”).

PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. THROUGH ACCESSING THE PLATFORM, USING THE SERVICES OR CLICKING “AGREE”, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS TERMS. IF YOU DO NOT AGREE WITH THE TERMS, YOU SHOULD IMMEDIATELY DISCONTINUE USING THE PLATFORM AND SERVICES.

We can be accessed through various locations and jurisdictions. Users who choose to access the Platform from such locations do so on their own initiative and are solely responsible for compliance with applicable local laws, and they shall not use the Platform unless it is permitted under the applicable laws.

You may not use this Platform and Services if you: (i) do not agree to this Terms; (ii) are not of the age or have the capacity to be bound by this Terms in Your jurisdiction of residence; or (iii) are prohibited from accessing or using this Platform or Services or any of this Platform’s contents, products or services by applicable law.

Esim io enables the procurement, activation, management of prepaid mobile data plans delivered through embedded SIM (eSIM) technology. We provide the Service on an "as-is" and "as-available" basis, without warranties of uninterrupted availability, performance, or fitness for any particular purpose, to the fullest extent permitted by law.

With the acceptance of these Terms, You further acknowledge that You have read and understood Our policies in the Esim io Platform, including but not limited to the Privacy Policy, Cookie Policy, Purchase Policy, and other policies and notifications (collectively be referred to as “Policies”) that may be amended from time to time on the Esim io Platform. These Policies are an integral and inseparable part of these Terms. Violation of the principles stated in these Policies is equivalent to a violation of these Terms.

You assume all risk and responsibility for compliance with any applicable telecommunications, data privacy, consumer protection, export control, or other local and international laws associated with Your use of the Service.

1. Description of Services and Fees

   1. Esim io enables You to purchase, activate, download, and manage prepaid mobile data plans delivered via embedded SIM (eSIM) technology through Our Platform. Such plans may be offered directly by Esim io or through authorized third‑party carriers and content providers.
   2. The Platform provides a unified interface where You can review active eSIM plans, monitor data usage, initiate subscription renewals or one‑time top‑ups, and manage account settings.
   3. From time to time, the Services may receive automatic updates, including bug fixes, enhancements, and new features, to maintain compatibility and performance. By using the Services, You agree to receive and install such Updates without additional notice.
   4. To access and fully utilize the Services, You must maintain compatible hardware and software (latest versions recommended) and an active internet connection. Service performance may be impacted by device capabilities, network conditions, and Platform requirements; You are responsible for meeting these prerequisites.
   5. To use the Service, You must ensure that their device is carrier-unlocked, supports eSIM functionality, and is compatible with the Service; compatibility may vary depending on carrier and country of origin, and must be verified prior to purchase. A stable internet connection, a compatible eSIM device, and one or more valid payment methods—including third-party or Platform -specific options—are required. You are solely responsible for the activation, installation, and provisioning of the eSIM. Esim io disclaims all liability for activation failures, device restrictions, provisioning errors, or issues arising from unsupported devices. If You use a third-party payment method, any cancellations or refund requests must be made directly through that third party’s system. Billing details for such transactions are available via Your third-party account.
   6. When Services or data plans are provided by third‑party carriers or content providers, Esim io acts solely as an agent and technical intermediary. Esim io is not a party to the contract between You and any third‑party provider, and disclaims liability for their performance.
   7. Esim io reserves the right, at its sole discretion, to modify, suspend, or discontinue any aspect of the Services, in whole or in part, with or without notice. Material changes will be communicated via the Platform or email to the address on file.
   8. Esim io does not provide voice calling or SMS messaging capabilities and makes no guarantee regarding network availability, coverage, performance, or compliance with any specialized regulatory regime. The Service is not authorized for distribution or use in jurisdictions where it would contravene local laws, require registration, or governmental licensing. If You are accessing the Service in such jurisdictions do so at their own risk and are responsible for compliance with applicable regulations.

2. Your Representations and Warranties

   1. By accessing or using Esim io , You expressly represent and warrant that:
      1. You must be at least eighteen (18) years old. Use of the Service for any other person is strictly prohibited
      2. You possess the authority to bind yourself or the legal entity on whose behalf You act to these Terms without violating any other agreement to which You are a party;
      3. Your use of Esim io will comply with all applicable laws, regulations, and industry standards, including telecommunications, data protection, consumer protection, and export control requirements;
      4. You will not use Esim io for any unlawful, abusive, fraudulent, or unauthorized purpose, nor will You facilitate any such activity by others;
      5. All information You provide to Esim io is true, accurate, complete, and current, and You will promptly update any information that changes;
      6. You will not infringe, misappropriate, or otherwise violate any intellectual property, privacy, or other proprietary rights of Esim io or any third party.
   2. Esim io reserves the right to suspend or terminate Your access to Esim io and delete Your account if You breach any of the foregoing representations or warranties, or if Esim io determines, in its sole discretion, that You are not eligible to access or use the Services.
   3. You acknowledge and agree that it is Your sole responsibility to ensure that Your access to and use of Esim io complies with all applicable local, national, and international laws, regulations, and licensing requirements. We make no representation or warranty regarding the legality of Your use of Esim io in any jurisdiction, and You assume all risk and liability in this regard.

3. Purchase, Payment Models and Activation

   You may complete Your purchase for Esim io Services through one of the following models: (i) Pay As You Go, (ii) Ready Package, or (iii) Recurring Subscription, subject to the detailed provisions below. In all cases, You must first deposit funds into their “io balance” wallet via permitted payment methods. These funds will be used to process any eligible in-app transaction.

   • Pay As You Go: A pre-determined amount per GB or threshold unit will be deducted from Your io balance in real time based on data consumption. Pricing varies depending on the country of use and will be displayed prior to usage.
   • Ready Package: You select and purchase a data plan with a fixed GB quota and validity period. The total package fee will be immediately deducted from the Your io balance upon confirmation.
   • Recurring Subscription: For subscription-based plans, You will be charged the full subscription fee for the designated billing cycle (e.g., weekly, monthly, annually). Subscriptions automatically renew unless canceled in accordance with these Terms.

   Payment

   1. By completing any purchase via the Esim io Platform, You enter into a binding sales agreement with Esim io, governed by these Terms of Service and Policies.
   2. Esim io may from time to time offer time-limited trial access to selected plans or features at no charge. Eligibility, duration, and feature scope of trials are determined solely by Esim io and may be subject to additional limitations.
   3. All fees, whether for one-time purchases, data top-ups, or subscriptions, are charged at the time of transaction using Your selected payment method. You authorize Esim io and its authorized payment processors to charge all applicable fees, including taxes, duties, and surcharges.
   4. Esim io accepts multiple forms of payment, including major credit/debit cards, digital wallets, and Platform billing options. You are solely responsible for complying with the terms of any third-party payment provider and for all charges incurred.
   5. Esim io does not store payment credentials. All financial data is processed and stored exclusively by licensed third-party payment service providers.
   6. Prices, plan availability, and tax obligations may vary by jurisdiction and are subject to change at any time prior to purchase. You will be presented with a complete cost breakdown, inclusive of VAT and any applicable regional surcharges, before confirming a transaction.

   Refunds, Renewals, and Cancellations

   7. If You purchase directly through Our website or via an Esim io-approved payment method outside of the app stores, all sales are final once the eSIM has been provisioned. Refunds, cancellations, or monetary claims for such purchases are handled exclusively by Esim io. Except where required by local law, we do not offer refunds or credits for unused data, expired plans, or partial billing periods.
   8. Refund requests for purchases made via mobile platforms such as Apple and Google are governed solely by the application’s refund policy; You should be aware that no refunds will be issued for deleted accounts following a breach of these Terms. All charges include VAT unless otherwise specified. You may not offset any claims against Esim io except where their claims are undisputed or confirmed by final court judgment.
   9. If enrolled in a subscription plan, it will automatically renew at the end of each billing period unless canceled before the renewal date via Your account settings or relevant platform subscription tools. Cancellations take effect at the end of the current term; prorated refunds will not be issued.
   10. If You are benefiting from a free trial must cancel before the trial period expires to avoid being charged. Upon cancellation, trial access ends immediately, and no subsequent refunds will be processed.
   11. You may cancel a subscription at any time. Cancellation becomes effective in the next billing cycle. Refunds for the current cycle are not available unless otherwise required by local consumer protection laws.
   12. In the event of a subscription price increase, Esim io will notify You in advance. Continued use after the effective date constitutes acceptance; if You do not agree, You must cancel prior to the new rate taking effect.

   Registration, Activation, Compatibility, and Tax Obligations

   13. To access certain features of the Esim io Platform or utilize the Services, You may be required to register for an account and provide specific information, which may include Your name, email address, and mobile number.
   14. Esim io may impose additional terms and conditions regarding account eligibility or access to particular features. We reserve the right to deny, suspend, or revoke account access at Our sole discretion.
   15. If authentication features such as passwords or one-time passwords (OTP) are enabled, You are solely responsible for safeguarding Your credentials. By using OTP, You agree to receive such messages from Esim io. You must immediately notify Esim io of any unauthorized access. To the extent permitted by law, You are fully responsible for all activities conducted under Your account.
   16. You are obligated to provide accurate, complete, and current registration information, and to promptly update it if there are changes (including Your contact details). Failure to do so may result in failed or delayed communications. Notices sent to the last provided contact information shall be considered valid.
   17. Any personal data submitted via the Platform is processed in accordance with applicable data protection laws and the Esim io Privacy Policy.
   18. By registering, You consent to receive service-related communications, including alerts and notices, via the contact details provided to Esim io.
   19. Esim io may process anonymized and aggregated data, including usage metrics, for internal analysis and reporting, provided such data cannot be used to identify You personally.
   20. After purchasing a plan, You must download, install, and activate the corresponding eSIM on a carrier-unlocked, eSIM-compatible device. A stable internet connection is required for activation. The eSIM will remain on Your device after the plan expires or data is depleted and may be removed at Your discretion, though we advise retaining it until fully used.
   21. It is solely Your responsibility to ensure Your device meets all technical specifications and is carrier-unlocked. Esim io accepts no liability for failed activations, device incompatibility, or carrier-specific restrictions.
   22. You are responsible for any taxes, duties, or levies imposed in connection with Your purchase (excluding Esim io’s own income taxes). Where applicable, You must report and remit such amounts directly to the appropriate authorities.

4. Termination

   1. The license granted to You for use of the Services is effective until terminated. At any time, at our sole discretion and without liability to You, with or without prior notice, Esim io may modify, suspend, or discontinue all or any part of the Platform or Services, including features, content, or functionality, for any reason, such as if continued operation is no longer commercially viable.
   2. We may terminate Your access to the Platform, Services, or Your account immediately and without notice, delete or deactivate Your account and all related data, and/or terminate these Terms, in Our sole discretion and for any reason, including if You breach these Terms or violate any applicable law.
   3. You may terminate Your license at any time by submitting a cancellation request through the Platform and removing the application from Your devices. Termination will take effect upon confirmation of Your request.
   4. You acknowledge that Esim io’s decisions to limit access, suspend, or terminate Services or accounts may be based on confidential risk management and security criteria, and we are under no obligation to disclose these procedures or criteria.
   5. Esim io shall not be liable for any loss, damage, or harm arising from suspension or termination of the Services or Your account, to the extent permitted by applicable law.
   6. Upon termination, all rights granted to You under these Terms shall immediately cease, and You must cease all use of the Services and delete or return all downloaded materials where practicable.

5. Force Majeure

   1. Esim io shall not be liable for any loss or damage arising from any event beyond Esim io’s reasonable control, including, but not limited to natural disasters, fire, war, riots, labor disputes, actions of government, power or other infrastructure failures, or equipment or software malfunction (“Force Majeure”).

6. Entire Agreement

   1. You may have previously entered into other agreements with Esim io. Terms and conditions herein this Terms shall prevail with respect to Services provided through the Platform unless such other agreement explicitly refer to this Terms.

7. Amendment

   1. Esim io may amend this Terms at any time without any specific notice. The latest version of the Terms published on the Platform are applicable to all Users. You are responsible of checking the latest version published on the Platform.

8. Waiver

   1. Any failure or delay in exercising any right, power or privilege Esim io is granted under this Terms shall not be regarded as a waiver thereof.

9. Assignment

   1. Any right and obligation of You under this Terms shall not be assigned or transferred to any third party without obtaining prior written consent of Esim io.
   2. Esim io, on the other hand, may assign or transfer any or all of its rights and obligations under this Terms to any third party without any need to obtain approval or consent of You.

10. Severability

    1. In the event that any clause of this Terms is deemed invalid or unenforceable, the remainder of this Terms shall remain in full force and effect. The invalid portion of this Terms, on the other hand, shall be regarded as modified as closely as possible to the intent of Esim io.

11. International Availability

    1. Availability of the Services, including specific features and language versions, varies by country.

12. Privacy

    Please find our Privacy Policy for detailed information about how we collect, use and disclose the information/personal data given by You. Transfer and storage of information about You is governed by our Privacy Policy as well.

    Data security is provided by the Application. However, the You are responsible for any unauthorized access to Your information; abusing, storage, reproduction, sale, copying, as well as illegal use of Your information, contact information and other content.

13. Code of Conduct

    1. The Services offered through the Platform shall not be used for any purposes other than what is set out by the Company, in accordance with this Terms. In this regard, the Services are provided for and limited with personal, non-commercial, non-exclusive, limited, non-transferable use only.
    2. Therefore, while accessing and/or using the Platform and the Services, (as an unrestrictive list) You are explicitly prohibited to and You shall NOT:
       1. Use the Platform and Services against any applicable laws, either local, federal, national, or international,
       2. Use the Services or Content to support, or engage in any illegal activities including, but not limited to, illegal gambling, fraud, money laundering, or terrorist activities,
       3. Use the Platform, Content or Services in a way that disrupt, adversely affect, prevent or obstruct provision of Services and use of Services by other users,
       4. Access without authorization to any Esim io IP or Content to which You are not permitted to access or use,
       5. Make any commercial use of the Services and Content, develop third party applications benefiting from Our Services and Content,
       6. Copy, decompile, disassemble or reverse engineer any software that is a part of the Platform, Content and Services,
       7. Use any spider, robot, cheat utility, scraper, offline reader or any other automated means that accesses the Platform and Esim io Content; use or launch any unauthorized script or other software; or upload any harmful software such as a virus or a Trojan horse,
       8. Attempt to interfere with or disable any features of the Platform, or create undue traffic or other burden on the Platform or related networks,
       9. Systematically retrieve any content or data from the Platform to create reference or compile such data to form a collection, compilation, database, or directory or use any infrastructure, software, application or other tool that acts as or constitute an information or data collection or transmission mechanism,
       10. Disclose private information pertaining to Platform, Services or the Company to third parties,
       11. Use the Platform to market, advertise or offer to sell goods or services,
       12. Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in the Platform or any material.
    3. Any prohibited use of the Platform and Services may have serious legal and contractual consequences, including but not limited to the termination of Your use of Our Services, deletion of Your account, compensation of damages.
    4. Esim io may suspend or terminate accounts, and take other actions it deems necessary to enforce these rules and protect the Platform integrity.

14. Risk Disclosure

    1. Access to eSIM provisioning and mobile data services may degrade, fail, or become temporarily unavailable during periods of network congestion, high demand, software maintenance, or carrier-side restrictions, which may prevent You from activating, recharging, or using Your eSIM and may delay technical support.
    2. The Esim io Platform, user interface, and any related documentation or communications may contain inaccuracies, omissions, or outdated information regarding device compatibility, supported carriers, pricing, or country coverage.
    3. Esim io relies on third‑party carriers, network operators, and technology providers to deliver connectivity. Termination of Our partnerships, material changes to their terms, network outages, regulatory interventions, or technological shifts may impair or suspend Your access to eSIM services.
    4. You expressly accept that neither Esim io nor its partners guarantee continuous service, and that You may experience service interruptions or degraded performance beyond Our control.
    5. In the event of any dispute with other users, carriers, or content providers regarding eSIM plans or data usage, You release Esim io and its affiliates from all claims, liabilities, costs, and damages arising out of or relating to such disputes. You waive any statutory or common‑law protections that would otherwise limit this release to claims You were aware of when agreeing.
    6. We do not guarantee that Our Services will always be available or be uninterrupted. You are responsible for making all arrangements necessary for You to have access to Our Services.
    7. We do not represent that Our Services will be available in other jurisdictions. We may limit the availability of Our Services or specific functionality to any user or geographic area at any time. You assume all risk and responsibility for compliance with any applicable telecommunications, data privacy, consumer protection, export control, or other laws associated with your use of the Service.
    8. You will immediately see the purchased eSIM under the "My eSIMs" tab on the Esim io website and/or the Esim io application. You will receive a confirmation email after the purchase. All the information for installing the eSIM will be available only on the Your Esim io account.

15. Your Obligations:

    Without prejudice to the Terms of Service, the Your obligations are as follows:

    1. Use the Service in compliance with these Terms of Service and to be responsible for all use of the Service from Your account,
    2. Submit true, accurate, and complete registration information, and to keep such information up-to-date,
    3. Keep the password confidential at all times and will be responsible for all use of the account and password. We reserve the right to remove, reclaim, or change a username You select if we determine, in Our sole discretion, that such username is objectionable,
    4. Use the Service in accordance with all applicable laws and regulations of the home nation, the country of residence, and the country in which You are present when the Service is being used by You,
    5. You agree to solely liable for the use of any prohibited and/or restricted services under any applicable laws and regulations of Your home nation, country of residence, and the country in which You are present when using the Service’s. You agree and accept to indemnify and hold Esim io harmless from any and all claims arising from and/or in relation to use of prohibited and/or restricted services,
    6. You agree that it is solely liable for all responsibility to compley with any applicable telecommunications, data privacy, consumer protection, export control, or other laws associated with use of the Service.
    7. You agree that the Service shall be used for personal consumption only,
    8. You agree that the Service shall not be used to engage in any action that is abusive, illegal or fraudulent or that causes the network to be impaired or damaged,
    9. You agree that the credits, promotions and referrals for the Services (the “Program”) shall not be used to undermine the fairness, integrity or legitimate operation of the Program, including but not limited to, creating fake accounts or using fictitious identities to participate in the Program or receive reward, sell. Esim io, in its sole discretion, reserves the right to disqualify You from the Program and future use of Our Services,
    10. You agree that Esim io may suspend Your use of the Service in case of breach of the above obligations, and that You will continue to be liable and shall pay all charges due under these Terms of Service in respect of the suspended Services. Do note that any attempt to deliberately damage or undermine the legitimate operation of the Services and the Program may be in violation of criminal and civil laws,
    11. You acknowledges that Esim io reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution.

16. Indemnification

    You agree to defend, indemnify and hold harmless Esim io, its parent and subsidiary companies, and each of their respective officers, directors, employees, agents, partners and licensors (collectively, the “Indemnified Parties”) from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including, without limitation, reasonable attorneys’ fees and court costs) arising out of or relating to any third-party claim, action or proceeding brought against an Indemnified Party to the extent that such claim is based upon or arises out of:

    1. Your breach or alleged breach of these Terms or any representation, warranty or covenant made by You herein;
    2. Your use of (or inability to use) the Service, including any data or content You submit, post or transmit;
    3. Any violation by You of applicable law, regulation or the rights of any third party (including intellectual property, privacy or publicity rights);
    4. Your negligent, willful or reckless act or omission in connection with your use of the Service;
    5. Your deployment or use of any automated data-gathering or extraction tools (e.g., bots, spiders, crawlers) that impose an unreasonable load on Our infrastructure; or
    6. Any harmful, harassing or illicit conduct by You toward another user of the Service.

    You will (a) promptly notify the Indemnified Parties in writing of any claim for which indemnification is sought; (b) grant the Indemnified Parties sole control over the defense and settlement of such claim (provided that no settlement may impose any liability or obligation on an Indemnified Party without its prior written consent); and (c) cooperate fully, at Your expense, with the Indemnified Parties’ reasonable requests in connection with the defense and settlement of the claim. The Indemnified Parties reserve the right, at Your expense, to assume exclusive control of such defense.

17. Intellectual Property Rights

    1. The Platform is the proprietary property of the Company and all content therein including but not limited to signs, text, graphics, pictures, information, data, software, sound files, source codes, databases, functionality, website designs, audio, video, text, photographs, and graphics and the trademarks, service marks, and logos (collectively, the “Esim io IP”) are owned by us and/or licensed to us and/or controlled by us; and are protected through various intellectual property rights.
    2. The Esim io IP is provided on the Platform for the permitted use only, in accordance with this Terms. Therefore, copying, reproducing, republishing, uploading, aggregating, publicly displaying, encoding, translating, distributing, selling, licensing, reverse engineering or in any other way exploiting any part of the Platform and/or Esim io IP for any unauthorized and prohibited purpose, without express prior written permission of the Company is strictly prohibited.
    3. You are granted a limited use right to access and use the Esim io IP, Platform and Services, provided that You are eligible to under this Terms. However, Esim io, at any time, reserves the right to terminate Your access to the Platform, the Services, the Esim io IP and if applicable revoke the use rights or licenses provided.
    4. It is prohibited to give unauthorized links to the Platform and the Services as well as framing of any information contained on the Platform or any portion of the Platform. If any unauthorized link or framing is detected, Esim io reserves the right to disable the unauthorized links or frames right away or request for the link to be removed.
    5. In any event, Esim io shall not be held responsible or liable for any material on third party websites which contains link to the Platform and the Services. Similarly, Esim io has no responsibility or liability for framing of any information contained on the Platform or any portion of the Platform.
    6. It is prohibited to develop any third party applications that interact with Our Services or integrate Our Services into any third party applications through application programming interfaces (API) unless such license is explicitly granted. Separate license terms shall be executed in order for Esim io to grant any such license.

18. Disclaimer of Warranties

    YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE THAT YOUR USE OF ESIM IO, INCLUDING THE PLATFORM AND ALL ASSOCIATED SERVICES AND CONTENT, IS AT YOUR SOLE RISK. ESIM IO IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ESIM IO AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, OR UNINTERRUPTED OPERATION.

    ESIM IO MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR BE COMPATIBLE WITH YOUR DEVICES, SOFTWARE, OR NETWORK ENVIRONMENT. ESIM IO DOES NOT WARRANT THAT THE SERVICES OR ANY CONTENT OBTAINED THROUGH ESIM IO IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

    YOU UNDERSTAND AND AGREE THAT ESIM IO IS NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, APPLICATIONS, OR SERVICES ACCESSIBLE THROUGH ESIM IO, AND THAT ANY DEALINGS WITH THIRD PARTIES ARE AT YOUR OWN RISK. Any conflicts which may arise between the Application and You shall initially be settled according to Laws of England and Wales.
